E-Banking Customer Service Agreement

Bank of Communications Co., Ltd. Macau Branch (hereinafter “the Bank”)
本協議適用於使用電子銀行服務的客戶,本行對本協議內的條款擁有最終解釋權。本協議的適用,不妨礙本行所訂立的《交通銀行股份有限公司澳門分行賬戶服務總協議》同時適用於客戶,倘若本協議與《交通銀行股份有限公司澳門分行賬戶服務總協議》有抵觸,本行具最終解釋權。
This Agreement shall apply to Customers using e-Banking Services and the Bank shall have the final right of interpretation of the terms and conditions of this Agreement. The application of this Agreement shall not preclude the application of the “Account Services Agreement of Bank of Communications Co., Ltd. Macau Branch” to the Customer. The Bank shall have the final right of interpretation in the event of any discrepancy between this Agreement and the “Account Services Agreement of Bank of Communications Co., Ltd. Macau Branch”.
此外,當閣下開始使用電子銀行服務時,即等於同意接受下列由本行適時議定的各項條款之約束。如閣下於該等條款作出修訂後,仍同意繼續使用服務,即視作閣下已接受有關條款的修訂及受其所約束。若閣下不同意下列條款,請立刻停止使用本行的電子銀行服務。
In addition, by commencing to use the e-Banking Services, you agree to be bound by the following terms and conditions set by the Bank, from time to time. If you agree to continue to use the service after these terms have been amended, you will be deemed to have accepted and be bound by the amendments to these terms. If you do not agree to the following terms and conditions, you should cease using the Bank's e-Banking Services immediately.
本行所有資訊、資料、意見及服務的對象僅限於居住於澳門特別行政區("澳門")的個人或營業地點設於澳門的公司,並不擬提供予其他司法管轄區之人士或法人使用。除非得到本行授權並且為本行的母公司(「交通銀行股份有限公司」)及其下的所屬子公司或受認可的機構的要求,否則本行將不會為任何未獲授權人士,組織或機構提供任何有關用戶的資訊。
All information, materials, opinions and services are intended for use by individuals residing in the Macau Special Administrative Region (hereinafter "Macau") or company having their place of business in Macau only and are not intended for use by persons or legal entities in other jurisdictions. The Bank shall not provide any users’ information to any unauthorised person, organisation or institution, unless otherwise authorised by the Bank and requested by the Bank's parent company ("Bank of Communications Co Ltd") and its subsidiaries or authorised institutions.
本協議適用澳門法律,並按照其解釋,任何爭議須受澳門法院管轄。
This Agreement shall be governed by and construed in accordance with the laws of Macau. Any dispute shall be subject to the jurisdiction of the courts of Macau.

The information provided in the Bank's website is for general reference only and is provided on an "as is" basis, such information shall not be treated as warranty, representation or undertaking of any kind. In addition, the Bank may amend such information, from time to time, without prior notice.
C. 本行網址所包含的資料不應視為要約或向瀏覽人士作出特定或專業意見,本行建議使用者在有需要時,應徵詢適當的專業人士意見。
The information contained in the Bank's website shall not be regarded as an offer or as a specific or professional advice provided to the visitors. The Bank recommends that the users shall seek advice from appropriate professionals when necessary.
D. 在法例容許的情況下,本行不予保證所提供之資訊及資料是安全、沒有任何錯誤、遺漏或不準確,及有關本網址之使用或不能使用,或因本網址之運作或傳送之中斷、缺陷或阻延、或系統失靈而招致瀏覽人士損失,本行並不就此承擔任何責任。
To the extent permitted by law, the Bank does not warrant the information and materials provided are secure, free from errors, omissions or inaccuracies. The Bank shall not be liable for any losses due to using or failing to use this website, or for any interruptions, defects or delays in the operation or transmission on this website or system failure.
E. 客戶使用「本行」的「電子銀行服務」即構成「客戶」同意接受以下條款,並受其約束之證明。
The use of the Bank's e-Banking Services by the Customer constitutes proof of the Customer's agreement to accept and be bound by the following terms and conditions.
F. 客戶使用「電子銀行服務」中產生,上傳及發起交易等的數據和個人資料,將被傳送到本行位於中國內地的伺服器以進行後續處理和數據回傳。
The data and personal information generated, uploaded and initiated by the Customers using the e-Banking Services will be transmitted to the Bank's servers in Mainland China for post-processing and data return.
1. 定義及應用
1. Definition and Application
1.1 在本協議內,除文意另有釋義外,下列名詞均具以下含義:
1.1 Unless the context otherwise requires, the following terms shall have the meanings as defined below in this Agreement:
「銀行」或「本行」指交通銀行股份有限公司澳門分行。
“Bank” or “the Bank” means Bank of Communications Co., Ltd. Macau Branch.
「客戶」指在「銀行」開立帳戶及申請使用電子銀行服務的任何個人、法定機構、獨資/合夥商號、公司、社團或組織,並獲「銀行」接納的人士(如與「銀行」簽署「電子管道服務申請表」的人士),包括持有個人帳戶之個人、法人及其授權人士、使用者、代理人及合法繼任人。
“Customer” means any individual, statutory body, sole proprietorship/partnership, company, association or organisation that opens an account with the Bank and applies for e-Banking Services and is accepted by the Bank (e.g. a person who has signed an “e-Channel Service Application Form” with the Bank), including individuals holding personal accounts, legal entities and their authorised persons, users, agents and legal successors.
「電子銀行服務」指「銀行」向「客戶」所提供的通過交通銀行股份有限公司澳門分行之網上銀行、手機銀行服務,據此客戶可透過電子管道或電訊媒介輸入「用戶名稱」及密碼後,進行銀行交易或從銀行獲取相關服務。
"e-Banking Service" means the online banking and mobile banking services provided by the Bank to the Customer through Bank of Communications Co., Ltd. Macau Branch, whereby the Customer can conduct banking transactions or obtain related services from the Bank through electronic channels or telecommunication media by entering the User Name and Password.
「帳戶」指不時由「客戶」向「銀行」指定並被「銀行」接納為可使用「電子銀行服務」之帳戶,但「銀行」有權指定及由其選擇更改可使用「電子銀行服務」之帳戶種類及範圍。
"Account" means an account designated from time to time by the Customer to the Bank and accepted by the Bank for use with the e-Banking Service, subject to the Bank's right to designate and, at its option, change the type and scope of the account for which the e-Banking Service may be used.
「基本帳戶」指「客戶」在申請「電子銀行服務」時所指明,並以「客戶」的名義在「銀行」開立的儲蓄存款戶口或往來戶口。
"Basic Account" means the savings account or current account opened with the Bank in the name of the Customer as specified by the Customer when applying for e-Banking Services.
「用戶名稱」指由「銀行」向「客戶」提供,或經「客戶」自行選定並經「銀行」所採納,藉以識別「客戶」身份之代號,當其與密碼一同輸入時,使「客戶」能享用「電子銀行服務」。
“User Name” means a code provided by the Bank to the Customer or chosen by the Customer and adopted by the Bank to identify the Customer and, when entered together with the Password, enables the Customer to use the e-Banking Services.
「密碼」指由「客戶」自行選定,並經「銀行」所採納的任何個人識別碼 (不論獨一與否 ) ,當其以電子形式(包括但不限於鍵盤及滑鼠輸入)與用戶名稱一同輸入時,使「客戶」能享用「電子銀行服務」。
"Password" means any personal identification code (whether unique or not) chosen by the Customer and adopted by the Bank, when entered electronically (including but not limited to keyboard and mouse input) together with the User Name, to enable the Customer to use the e-Banking Services.
「本協議」指本「電子銀行客戶服務協議」及其日後之修訂版本。
"Agreement" means this e-Banking Customer Service Agreement and any future amendments hereto.
「指示」指由「客戶」經輸入用戶名稱和密碼後,透過「電子銀行服務」以指定或可接納之方法不時發出之任何指示。
"Instruction" means any instruction given by the Customer through the e-Banking Services, from time to time, by a specified or acceptable method after the Customer has entered his/her User Name and Password.
「交易」指「銀行」依據或以其絕對決定權按照客戶不時透過「電子銀行服務」發出的一項「指示」而完成之任何行為或合同。
"Transaction" means any act or contract done by the Bank pursuant to or at its absolute discretion in accordance with an Instruction given by the Customer, from time to time, through the e-Banking Services.
「簽署協議」指由「銀行」載明有關文件簽署安排,及其後以書面通知「銀行」及「銀行」所接受的更改簽署安排。
"Agreed Signing Arrangement" means the arrangement for the signature of the relevant document as set out by the Bank and the subsequent variation of the signature arrangement as notified in written form to and accepted by the Bank.
「營業日」指澳門特別行政區的銀行營業日子。
“Business Day” means the day on which banks in Macau Special Administrative Region are open for business.
「澳門」指中華人民共和國澳門特別行政區。
“Macau” means Macau Special Administrative Region of the People’s Republic of China.
1.2 除另有規定外,在「本協議」中凡表示單數的字詞亦包括複數在內,反之亦然;表示某一性別意思的字詞亦包括其他性別在內;表示人士的字詞包括個人、公司、法定機構、協會、獨資/合夥商號、社團或組織(包括具法律人格或不具法律人格的實體)。
1.2 Unless otherwise specified, words referring to the singular in this Agreement also include the plural and vice versa; words referring to one gender also includes the other genders; words referring to persons include individuals, companies, statutory bodies, associations, sole proprietorships/partnerships, associations or organisations (including entities with or without juridical personality).
1.3 在「本協議」中的各段標題僅供參考之用,不影響「本協議」的解釋。
1.3 The headings of the paragraphs in this Agreement are for reference only and shall not affect the interpretation of this Agreement.
1.4 任何由「銀行」以郵遞方式寄往「客戶」於「基本帳戶」內的地址之通告,在其發出日期的下一個工作日應被視為已被「客戶」收到。
1.4 Any notice sent by the Bank by post to the Customer's address as stated in the Basic Account shall be deemed to have been received by the Customer on the next Business Day following the date of its issuance.
2. 與帳戶及服務有關之條款
2. Terms and Conditions Relating to Accounts and Services
2.1 鑒於「銀行」准許「客戶」使用「電子銀行服務」,「客戶」同意遵守並按照「本協議」或「銀行」不時發出之任何其他指示行事。
2.1 In consideration of the Bank permitting the Customer to use the e-Banking Services, the Customer agrees to comply with and act in accordance with this Agreement or any other instructions given by the Bank, from time to time.
2.2 「銀行」有權隨時及不時修訂、更改/增補「本協議」及由「銀行」發出之任何指示,其中包括但不限於隨時修訂、更改/增補電子銀行服務。以上各項,得以標貼、廣告或「銀行」認為適當之形式展示或通知「客戶」後,即告生效並對「客戶」具有約束力。若「客戶」於生效日期仍保持「帳戶」,客戶則視為接納該修訂或增補。
2.2 The Bank shall have the right to amend, alter/supplement this Agreement and any instructions given by the Bank, at any time, and from time to time, including but not limited to amend, alter/add to the e-Banking Services at any time. The foregoing shall become effective and binding on the Customer upon display of or notice to the Customer in the form of postings, advertisements or in such manner as the Bank considers appropriate. If the Customer maintains an Account on the effective date, the Customer shall be deemed to have accepted such amendment or addition.
2.3 「客戶」同意遵從及履行「本協議」所載之一切條款,倘「銀行」因「客戶」違反或不遵從履行「本協議」所載之條款,以致「銀行」直接或間接遭受、蒙受、承擔損失或所引致的一切法律費用及行政費用,「客戶」同意對「銀行」作出賠償(包括但不限於全數賠償法律費用、成本、支出及其他合理地承擔的支出)。
2.3 The Customer agrees to comply with and perform all the terms set out in this Agreement and the Customer agrees to indemnify the Bank (including but not limited to full indemnification of legal fees, costs, expenses and other reasonably incurred expenses) against all legal fees and administrative costs suffered, sustained or incurred by the Bank directly or indirectly as a result of the Customer's breach of or non-compliance with the terms set out in this Agreement.
2.4 在正當之情況下,「銀行」無需事先通知及給予任何理由,隨時行使其絕對決定權,拒絕執行或撤銷經電子銀行服務可進行的任何交易,並終止或限制「客戶」使用電子銀行服務。「客戶」不能藉此向「銀行」追究任何責任。
2.4 The Bank may, in its absolute discretion, at any time and without prior notice and without giving any reason, refuse to perform or cancel any Transaction that may be effected through the e-Banking Services and terminate or restrict the use of the e-Banking Services by the Customer. The Customer shall have no liability to the Bank in respect thereof.
2.5 「銀行」隨時有絕對的權利決定接受「客戶」的指示作為「客戶」的代理人,代其與第三者進行交易;但為此「銀行」一概無須就該第三者的任何行為負上任何法律責任(包括但不限於該第三者的任何未執行或延誤執行「銀行」代「客戶」發出的指示)。「客戶」知悉及確認該等交易由「銀行」作為其代理人與第三者所執行之交易受有關適用條款及條件所管轄及限制,並且「客戶」同意授權「銀行」向該第三者披露「客戶」對有關交易的任何資料。
2.5 The Bank shall at all times have the absolute discretion to accept Instructions from the Customer to act as the Customer's agent in dealing with third parties on his behalf. For this purpose, the Bank shall not be liable for any act of such third party (including but not limited to any failure or delay by such third party in carrying out the instructions given by the Bank on behalf of the Customer). The Customer is aware and acknowledges that such Transactions are governed by and subject to the respectively applicable terms and conditions and are executed by the Bank as its agent with the third party and the Customer agrees to authorise the Bank to disclose to such third party any information relating to such Transactions of the Customer.
2.6 「本行」責任的限制
2.6 Limitation of the Bank's Liability
2.6.1 除因「本行」嚴重疏忽或故意失責外,本行概不就以下各項負責:
阻延或干擾「客戶」取用帳戶或服務,或未能使用帳戶或服務;或透過互聯網或任何其他媒介發送訊息出現任何遺失、錯誤、延遲、錯誤指示、舞弊或未經授權的修改或截取,或服務、帳戶或資料未經授權而被取用;或未能執行或執行「客戶」的指示時出現錯誤;或任何軟體、設備或系統出現任何錯誤、操作失常、中斷、暫停、不足或故障;或任何可損害電腦硬體或軟體功能的東西(包括任何電腦病毒);或因終止「客戶」的帳戶或終止向「客戶」提供任何服務而產生的任何損失或損害;或其他法律容許的情況。
Except for gross negligence or wilful misconduct on the part of the Bank, the Bank shall not be liable for the following:
Delay or interference with the Customer's access to, or failure to use, the Account or the service; or any loss, error, delay, misdirection, fraud or unauthorised alteration or interception of messages sent via the internet or any other medium, or unauthorised access to services, accounts or data; or failure to execute or error in executing the Customer's Instructions; or any error, malfunction, interruption, suspension, deficiency or failure of any software, equipment or system; or anything that could impair the functionality of the computer’s hardware or software (including any computer viruses); or any loss or damage arising from the termination of the Customer's Account or any service provided to Customer; or as otherwise permitted by law.
2.6.2 「本行」毋須就第三方、政府、市場干擾或任何超出本行可控制範圍的事件造成的任何損失對「客戶」和第三方負責。就「本行」的作為或不作為而言,只須就嚴重疏忽或欺詐行為負責。「本行」毋須就「本行」有關辦事處被禁止執行事務而向「客戶」交代。
2.6.2. The Bank shall not be liable to the Customer and third parties for any loss caused by third parties, government, market disruption or any event beyond the Bank's control. The Bank shall only be liable for gross negligence or fraud in respect of acts or omissions of the Bank. The Bank shall not be liable to the Customer in respect of any prohibited act of the Bank's office.
2.6.3 本行提供的任何資料僅作參考。除另有說明者外,該等資料並非要約。「客戶」知悉本行並無就任何資料或投資結果作出陳述、保證或擔保。除另有說明者外,所提供的任何價格、利率或其他報價僅作參考,並可於「本行」確認接受「客戶」的要約前毋須給予通知而更改。除另有說明者外,「客戶」應付的價格並不包括(而「客戶」將額外支付)適用的稅項、稅費、交易征費、合理費用及開支。
2.6.3 Any information provided by the Bank is for reference only. Unless otherwise stated, such information shall not be treated as an offer. The Customer acknowledges that the Bank makes no representations, warranties or guarantees regarding any information or investment results. Unless otherwise stated, any prices, interest rates or other quotations provided are for reference only, and may be altered without notice to the Customer before the Bank confirms acceptance of the Customer's offer. Unless otherwise stated, the price payable by the Customer shall not include (and the Customer shall additionally pay) applicable taxes, duties, levies, transaction levies, reasonable fees and expenses.
2.6.4 如根據任何適用法律「本行」須對任何損害賠償負上法律責任,其責任將只限於該有關交易的金額,或只限於「客戶」的直接損害金額,兩者中取較低者,而該等法律責任並不包括間接損害。無論如何,該等法律責任應排除賠償間接損害。
2.6.4 In the event that the Bank is liable for any damages under any applicable law, its liability shall be limited to the amount of the relevant Transaction or to the Customer's direct damages, whichever is lower, and such liability shall not include consequential damages. In any event, such liability shall exclude compensation for consequential damages.
2.6.5 「本協議」第2條在適用法律所容許的範圍內施行。
2.6.5 Article 2 of this Agreement shall be enforceable to the extent permitted by applicable law.
3. 「用戶名稱」及「密碼」
3. User Name and Password
3.1 「客戶」承認「用戶名稱」及「密碼」均屬機密性質,「客戶」有責任確保及採取一切必要之預防措施對「用戶名稱」及「密碼」嚴加保密。「客戶」同意及知悉,如不慎或遭人盜用或向他人披露,不論其屬故意或非故意,「客戶」同意完全承擔相關責任及風險。
3.1 The Customer acknowledges that the User Name and the Password are confidential and that it is the responsibility of the Customer to ensure and take all necessary precautions to maintain the confidentiality of the User Name and the Password. The Customer agrees and acknowledges that he assumes full responsibility and risk for any inadvertent error or misuse or disclosure to others, whether intentional or unintentional.
3.2 「客戶」可隨時要求更改其「密碼」。在此等情況下,「密碼」乃指「客戶」自行選定輸入之「密碼」,或經「銀行」批准之新「密碼」。
3.2 The Customer may request a change of his/her/their Password at any time. In such cases, Password means the password entered by the Customer of his/her/their own choice or a new password approved by the Bank.
3.3 客戶如遺失其「用戶名稱」及/或「密碼」遭洩露、遺失及被盜用,或透過「帳戶」或「基本帳戶」進行任何未獲授權之交易,「客戶」必須立即致電「銀行」(00853 880 95559)或以任何其他方式通知「本行」,並以書面確認其事及遞交其正本予「銀行」。在「銀行」實際接獲該通知前,通過電子銀行管道輸入有關密碼而透過「電子銀行服務」執行之所有交易,均被視為「客戶」做出之「交易」。
3.3 In the event that the Customer loses his/her/their User Name and/or Password which has been leaked, lost or misused, or any unauthorised Transaction has been conducted through the Account or the Basic Account, the Customer must immediately notify the Bank by phonecall (00853 880 95559) or by any other means and confirm the matter in written form and submit the original copy to the Bank. Until such notification is actually received by the Bank, all Transactions executed through the e-Banking Services by entering the relevant password through the e-banking channel shall be deemed to be Transactions made by the Customer.
3.4 「客戶」謹此確認,「銀行」提供的「用戶名稱」及客戶所自行選取的「密碼」有可能遭未經授權人士使用或用作未經授權用途,並同意完全承擔該等風險。
3.4 The Customer hereby acknowledges that the User Name provided by the Bank and the Password chosen by the Customer may be used by unauthorised persons or for unauthorised purposes, and agrees to fully assume such risks..
3.5 任何提供或經重選之新「用戶名稱」及/或「密碼」,均視為適用相同的合約和「本協議」,「客戶」所承擔的責任保持不變。
3.5 Any new User Name and/or Password provided or re-selected shall be deemed to be subject to the same contract and this Agreement, and the obligations of the Customer shall remain unchanged.
3.6 密碼
3.6 Password
3.6.1「密碼」指「本行」接受以確認使用者為客戶本人之個人識別碼,可包括任何識別數字、字母、代碼、電子簽署或其他等。透過密碼,客戶以「本行」所告知的一個或以上管道進入「帳戶」或服務,尤其是「電子銀行服務」。不同的密碼可以由不同的使用者使用和/或用於不同的管道。
3.6.1 Password means a personal identification code accepted by the Bank to identify the user as the Customer, which may include any identifying numbers, letters, codes, electronic signatures or others. The Password enables the Customer to access the Account or services, in particular the e-Banking Services, through one or more channels as advised by the Bank. Different passwords may be used by different users and/or for different channels.
3.6.2 不管「客戶」的內部指令是否有不同的授權、簽署或簽字安排,任何已透過「客戶」輸入「密碼」所發出的指示,均對「客戶」具約束力。「客戶」的授權簽字人或簽署安排的任何更改不影響「密碼」的使用。如「本行」提供此項選擇,則用於一個管道的密碼亦可能適用於其他服務或管道,而任何使用將對「客戶」具約束力。
3.6.2 Any Instructions given through the Customer's input of the Password shall be binding on the Customer regardless of any different authorisation, Signature or Agreed Signing Arrangement for the Customer's internal Instructions. Any change in the Customer's authorised signatory or Agreed Signing Arrangement shall not affect the use of the Password. The password used for one channel may also apply to other services or channels and any use shall be binding on the Customer if the Bank provides this option.
3.6.3 「客戶」應儘快更改「本行」給予「客戶」的密碼,並於第一次使用「電子銀行服務」時指定新「密碼」,以及採取一切合理的審慎措施,穩妥保密「客戶」的密碼。假如「客戶」蓄意洩露密碼,所涉風險須由「客戶」自負。
3.6.3 The Customer shall change the Password given by the Bank as soon as possible, and shall assign a new Password when using the e-Banking Services for the first time and take all reasonable and prudent measures to keep the Customer's Password secure and confidential. If the Customer intentionally discloses the Password, the Customer shall bear the risk involved.
3.6.4 假如「客戶」發覺或相信「客戶」的密碼遭洩露、遺失或盜用,或曾發生任何未經授權交易,「客戶」須在合理切實可行範圍內首先儘快致電00853 880 95559,或其他由「銀行」所提供的電話號碼或其他方式通知「本行」,然後再以書面確認其事及遞交其正本予「銀行」。除「本行」根據「本協議」以善意和不可廢止的方式作出的行為外,「客戶」在「本行」接獲「本行」合理地相信為真實的報告後所採取的任何行動,一律毋須承擔任何責任。
3.6.4 If the Customer discovers or believes that the his/her/their Password has been compromised, lost or misused or that any unauthorised Transaction has occurred, the Customer shall first notify the Bank as soon as reasonably practicable by calling 00853 880 95559 or such other telephone number or other means as may be provided by the Bank before submitting the original written confirmation thereof to the Bank. Except for acts done by the Bank in good faith and in an irrevocable manner under this Agreement, the Customer shall not be liable for any action taken by the Bank upon receipt by the Bank of a report which the Bank reasonably believes to be true.
3.6.5 假如「客戶」以欺詐手法行事或因嚴重疏忽,或容許第三方使用「客戶」的「密碼」,或未能遵守「本協議」,尤其是第 3.6.3或 3.6.4條規定之客戶義務,「客戶」有責任承擔所有損失。然而,在不影響上述規定之情況下,「客戶」毋須就因透過「客戶」的帳戶進行的未經授權交易而蒙受的直接損失負責,但不適用於以下情況:
(a) 未經授權指示是以電子方式發出,
(b) 「客戶」是個人(不包括獨資商號、合夥、會社及社團),或
(c) 透過用作支付商品及服務費用或提取現金的任何卡進行的未經授權交易。
3.6.5 The Customer shall be liable for all losses if the Customer acts fraudulently or with gross negligence or allows third parties to use the Customer's Password or fails to comply with the Customer's obligations under this Agreement, in particular Article 3.6.3 or 3.6.4. However, without prejudice to the foregoing, the Customer shall not be liable for direct losses incurred as a result of unauthorized Transactions conducted through the Customer's Account, except in the following cases:
(a) the unauthorised instruction is given by electronic means;
(b) the Customer is an individual (excluding sole proprietorships, partnerships, alliance and association), or
(c) the unauthorised Transaction is made through any card used to pay for goods and services or to withdraw cash.
4. 「客戶」承認及同意
4. Acknowledgement and Consent of the Customer
4.1 「客戶」知悉及承認,「電子銀行服務」是「客戶」與「銀行」之間協定交易之附加服務,並不應被視為認可之交易方法。如因任何理由無法使用「電子銀行服務」,「客戶」有責任使用其他方法以完成交易。
4.1 The Customer is aware and acknowledges that the e-Banking Services are additional to the agreed Transactions between the Customer and the Bank, and should not be regarded as a recognised method of Transaction. It is the responsibility of the Customer to use alternative methods to complete the Transaction, if for any reason the e-Banking Service is not available.
4.2 「客戶」知悉在發出交易「指示 」之前,有責任核對所進行之一切交易資料完全正確,並在「銀行」限定時間內確認所發送的「指示」無誤,而銀行毋須對「客戶」的錯誤和不作為負責。一旦「銀行」收到「客戶」的「指示」確認時,「交易」便不能撤銷;然而,「銀行」不保證按照某一指示行事,直至「銀行」執行該「指示」為止。「客戶」並承認「銀行」有權依照其內部營業操作指引行事。只有在該「指示」符合營業操作指引及實際可行時,該「指示」方被接受。「銀行」最終保留一切解釋「本協議」的權利。
4.2 The Customer acknowledges that it is his/her/their responsibility to check that all Transaction information is correct before giving an Instruction to the Bank, and to confirm the Instructions are correct within the Bank’s limited timeframe. The Bank shall not be liable for any error or omission on the part of the Customer. Once the Bank receives confirmation of the Customer’s Instruction, the Transaction cannot be revoked. However, The Bank does not guarantee that an instruction will be followed until the Bank executes the Instruction. The Customer also acknowledges that the Bank has the right to act in accordance with its internal operating guidelines. The Instruction will only be accepted if it complies with the business operation guidelines and is practicable. The Bank ultimately reserves all rights to interpret this Agreement.
4.3 「客戶」知悉「指示」傳遞中可能出現錯誤、延誤、或不完整的訊息,而任何個案、行為均以「銀行」收妥的「指示」為准。「銀行」將這些「指示」加予記錄,該等記錄可以電子格式、複印本或其他途徑作出保存或複製,且在任何法院及各方面均作為最終及決定性的證據。
4.3 The Customer is aware of errors, delays or incomplete information that may occur in the delivery of Instructions. Any cases and conducts are subject to the Instructions received by the Bank. The Bank shall keep a record of such Instructions, which may be kept or reproduced in electronic form, by photocopy or otherwise, and shall be final and conclusive evidence in any court and in all respects.
4.4 「客戶」知悉若「銀行」收妥「指示」的時間超過正常「電子銀行服務」的業務時間或「銀行」視該時間為非「電子銀行服務」時間時,「銀行」可自行決定該「指示」在即日、次日或次一「營業日」處理。「客戶」同意「銀行」有權決定「指示」的處理時間。
4.4 The Customer acknowledges that if the Bank receives an Instruction after normal e-Banking Service business hours or if the Bank considers such hours to be non-e-Banking Service hours, the Bank may, at its sole discretion, process the Instruction on the same day, the next day or the next Business Day. The Customer agrees that the Bank has the right to determine the processing time of the Instruction.
4.5 「銀行」可不時要求書面確認由客戶事先指定予「銀行」之各種「交易」。「客戶」一旦收到此等交易憑證,須加以檢查。如發現任何錯誤,須即時通知「銀行」。如「客戶」在「銀行」的指定期限內並無提出反對,此等確認即已作實及具決定性,並對「客戶」具約束力。
4.5 The Bank may, from time to time, require written confirmation of various Transactions specified by the Customer to the Bank in advance. The Customer shall check such Transaction certificates once received. If any errors are found, the Bank shall be notified immediately. If the Customer does not object within the timeframe specified by the Bank, such confirmation shall be confirmed and conclusive and shall be binding on the Customer.
4.6 若「客戶」的指定「帳戶」內並無足夠資金或預先安排的信貸餘額不足以執行擬定「交易」,則「銀行」不會接納或執行「指示」。「銀行」一概無須因指示執行失敗而產生的任何後果負責。
4.6 The Bank shall not accept or execute the Instruction if there is insufficient funds or pre-arranged credit balances in the Customer's designated account to execute the intended Transaction. In case the Bank fails to execute the Instruction, the Bank shall not be liable for any consequences resulting therefrom.
4.7 儘管「客戶」的指定「帳戶」內並無足夠資金或預先安排的信貸餘額不足以執行擬定「交易」,而且不論擬定進行交易的個別交易的任何條款有否相反規定,在不影響第4.6條之情況下,「銀行」有絕對決定權,有權(但無責任)在毋須事先通知「客戶」或獲得其同意下,便可接納及執行「指示」。「客戶」須負責由此導致的借差或透支、預支或信貸(或其任何增加)及有關的所有「銀行」的劃一收費。該等欠款連同其利息須於「銀行」要求時償還。該利息由執行有關指示日計至實際償還日止(包括首尾兩日),利率由「銀行」決定為未經許可透支而適用的利率(不論是在判定前或後被授予)。
4.7 Without prejudice to Article 4.6, even if there is insufficient funds or pre-arranged credit balance in the Customer's designated account, and notwithstanding anything to the contrary in any provision of the contemplated individual Transaction, the Bank shall have the absolute discretion (but not the obligation) to accept and execute the Instruction, without prior notice to the Customer or obtaining his/her/their consent. The Customer shall be liable for the debit or overdraft, advance payment or credit (or any increase thereof) and all standard charges of the Bank in relation thereto. Such arrears together with their interest shall be repaid upon request by the Bank. The interest shall be calculated from the date of execution of the relevant Instruction to the date of actual repayment (both dates inclusive), and the interest rate (whether before or after judgement) shall be applicable interest rate as unauthorized overdrafts as determined by the Bank.
4.8 若根據本條款第4.7條下「客戶」而產生債務時,「銀行」有權(但無責任)在毋須通知「客戶」的情況下,按其認為需要的時間及價錢(但無任何責任獲取最佳價格),訂立其他交易,以抵銷或對銷根據指示而引致上述債務的「交易」。由此導致遭受或招致之任何損失、損害、債務或費用一概由客戶承擔,並由「銀行」選擇從「客戶」的任何帳戶中扣除;但任何收益則絕對歸「銀行」所有並保留供「銀行」本身使用與受益。「銀行」對該等損失、損害、債務或費用款額所發出之書面證明對客戶具約束力及終局性。
4.8 In the event that the Customer incurs debt under Article 4.7, the Bank has the right (but shall not be obliged) to enter into other Transaction at any time and price (without any obligation to obtain the best price) as it considers necessary to offset or counter trade the Transaction executed in accordance with the Instruction without notifying the Customer. Any loss, damage, liability or cost suffered or incurred as a result thereof shall be borne by the Customer, and shall be deducted by the Bank from any Account of the Customer as determined by the Bank. However, any proceeds are absolutely vested in the Bank and shall be retained for the Bank's own use and benefit. Any written certification issued by the Bank on such loss, damage, liability or cost shall be final and binding on the Customer.
4.9 所有在「銀行」電腦資訊記錄有關「電子銀行服務」之「交易」及訊息,包括適用之匯率(「銀行」錯誤除外)均對「客戶」有約束力,並具確定性。
4.9 All Transactions and messages relating to the e-Banking Services recorded in the Bank's computerised information records, including applicable exchange rates (except for the Bank’s errors), shall be binding on the Customer and shall be conclusive.
5. 「銀行」之責任
5. Liability of the Bank
5.1 「銀行」與其共同合作的第三者供應商,均不保證「客戶」所使用的「電子銀行服務」不受電腦病毒或其他破壞性程式的入侵而影響「客戶」之電腦硬體或軟體設備。
5.1 Neither the Bank nor its co-operating third-party providers guarantees that the e-Banking Services used by the Customer will be free from computer viruses or other destructive programs that may affect the Customer's computer hardware or software equipment.
5.2 「銀行」須保障「電子銀行服務」的各項條款符合澳門和澳門金融管理局的各項法例及規則,並採取適當可行的方法以確保「電子銀行服務」的系統正常運作,裝置足夠的保安設備,並定時監控系統運作,防範有關系統運作上的風險。
5.2 The Bank shall ensure that the terms and conditions of the e-Banking Services comply with the laws and regulations of Macau and the Monetary Authority of Macau, and shall take appropriate and feasible measures to ensure the proper functioning of the e-Banking Services system, namely install adequate security equipment, and monitor the operation of the system regularly to prevent risks associated with the operation of the system.
5.3 「銀行」不會向「客戶」或任何第三方承擔任何有關以下情況發生後的法律責任或其他責任:
5.3 The Bank shall not be liable to the Customer or any third party for any legal or other liability in respect of the occurrence of the following:
5.3.1 「銀行」的電腦系統、設備或相關的通訊網絡之延誤、故障、錯誤所引致之「電子銀行服務」故障、「指示」訊息延誤或錯誤,使「客戶」完全或局部不能使用「電子銀行服務」或導致「客戶」因此而蒙受之任何損失;
5.3.1 Delays, failures or errors in the Bank's computer systems, equipment or related communication networks which result in the failure of the e-Banking Services, delays in or errors in the Instruction’sinformation and the Customer's total or partial inability to use the e-Banking Services or any loss suffered by the Customer as a result thereof;
5.3.2 任何第三者(不限於是否與「銀行」共同合作的第三者)所引致的錯誤、延誤或故障;
5.3.2 Errors, delays or failures caused by any third party (not limited to the Bank’s co-operating third-party);
5.3.3 「銀行」須確保「電子銀行服務」所提供之資料定期更新。但「客戶」同意透過「電子銀行服務」收取之資料只供參考,「銀行」無須為資料的準確性而承擔任何法律責任或其他責任。「銀行」亦不需對因使用該等資料而作出的決定負責。在任何情況下,亦不需對使用或不能使用其而引致的損失或損害負責。
5.3.3 The Bank shall ensure that the information provided by the e-Banking Services is updated regularly. However, the Customer agrees that the information received through the e-Banking Services is for reference only and the Bank shall not be liable or otherwise responsible for the accuracy of the information. The Bank shall not be liable for decisions made as a result of the use of such information. In no event shall the Bank be liable for any loss or damage arising out of the use or inability to use it.
5.3.4 「銀行」有權就以下引起或與以下有關的一切訴訟、申索、費用、損失,免除「銀行」一切法律責任及對「客戶」作出追討:
5.3.4 The Bank shall be entitled to exempt itself from all legal responsibilities and recover from the Customer in respect of all lawsuits, claims, costs and losses arising from or related to the following:
(a) 非「客戶」本身及非「客戶」指定的授權人使用「客戶」之「用戶名稱」及「密碼」透過「電子銀行服務」發送任何「指示」予「銀行」,並已按授權及內部營業操作指引執行及完成有關的「指示」,其中包括獲取關於「客戶」或其他人之資料。
(a) the use of the Customer's User Name and Password by an Authorized Person other than the Customer itself and other than the Customer's designated authorized person to send any Instruction to the Bank through the e-Banking Services, and the execution of such Instruction is completed in accordance with the authorization and internal business practices guidelines, including the obtaining of information relating to the Customer or other persons.
(b) 非「銀行」所能控制之行為或疏忽,如因「銀行」的系統、電腦硬體或軟體設備功能失常所引致由「客戶」透過「電子銀行服務」所提供予「銀行」的「指示」錯誤或延誤。
(b) Conducts or omissions beyond the Bank's control, such as errors or delays in Customer’s Instructions provided to the Bank through the e-Banking Services due to malfunctioning of the Bank's systems, computer hardware or software equipment.
(c) 按照「客戶」不時向「銀行」提供及登記之經「客戶」確定的資料(不限於是否經「電子銀行服務」提交)而最後透過「電子銀行服務」作出交易「指示」。
(c) The Instruction for the Transaction which is finally made through the e-Banking Services in accordance with the information provided and registered by the Customer to the Bank from time to time (not limited to whether or not submitted through the e-Banking Services).
6. 「客戶」之責任
6. Liability of the Customer
6.1 「客戶」同意遵守「本協議」及由「銀行」不時發出就使用「電子銀行服務」的操作指引。
6.1 The Customer agrees to abide by this Agreement and the operational guidelines issued by the Bank, from time to time, in relation to the use of the e-Banking Services.
6.2 「客戶」須負責由其所引起的故意詐騙及/或嚴重的疏忽之行為及「交易」所產生的一切後果。
6.2 The Customer shall be liable for all consequences arising from intentional fraud and/or gross negligence actions and Transactions caused by him/her.
6.3 如「客戶」未有採取一切合理的步驟,保障「用戶名稱」及/或「密碼」保密及不被盜竊或不遺失,「客戶」亦須承擔因其故意及/或嚴重疏忽所產生的行為或交易帶來的任何結果負責。
6.3 If the Customer fails to take all reasonable steps to safeguard the confidentiality of the User Name and/or the Password, and to protect them from theft or loss, the Customer shall also be liable for any consequences arising from its intentional and/or gross negligence acts or Transactions.
6.4 除「本協議」具明文許可外,「客戶」不可故意或試圖披露、分享、傳閱、下載、複印及以其他方式或方法向任何第三者提供「電子銀行服務」提供的任何資料,或以「電子銀行服務」提供的任何資料作非法用途。
6.4 Except as expressly permitted by this Agreement, the Customer shall not knowingly or intentionally disclose, share, circulate, download, copy and otherwise make available to any third party any information provided by the e-Banking Services or use any information provided by the e-Banking Services for any unlawful purpose.
7. 個人資料的使用及披露
7. Use and Disclosure of Personal Data
「客戶」知悉並同意授權「銀行」收集就「電子銀行服務」所需有關「客戶」之個人資料及其它資料或相關之帳戶「交易」記錄,用作現時的個人資料保護聲明或「本行」政策所指定的用途(包括在《個人資料保護法》訂定之個人資料處理程序),及向任何第三方(在澳門境內或境外)的人士披露。有關本行對個人資料的收集及使用詳情,客戶可查閱「本行」的《個人資料收集聲明》。
The Customer acknowledges and agrees to authorize the Bank to collect personal data and other information relating to the Customer or related Transaction records required for the e-Banking Services, and for the purposes specified in the current Personal Data Protection Statement or the Bank's policies (including the personal data processing procedures set out in the “Personal Data Protection Act”), and for disclosure to any third party (within or outside Macau). The Customers may refer to the “Personal Information Collection Statement” of the Bank for more details of the collection and use of personal data by the Bank.
8. 支出及費用
8. Expenses and Fees
8.1 「銀行」保留權利要求「客戶」就「電子銀行服務」繳付費用及收費,「銀行」可在向「客戶」發出不少於 30天事先書面通知後,可更改此等費用及收費標準,但非「銀行」所能控制之原因而更改費用及收費,則「銀行」將按當時情況給予「客戶」合理之通知期。
8.1 The Bank reserves the right to require the Customer to pay fees and expenses in respect of the e-Banking Services. The Bank may alter such fees and charges upon not less than 30 days' prior written notice to the Customer. However, if the reasons for such variation of fees and charges are beyond the Bank's control, the Bank will notify the Customer in a reasonable timeframe as appropriate.
8.2 「客戶」須承擔為「客戶」提供與「電子銀行服務」有關之電訊設備及互聯網使用設備/裝置、或為此等設備/裝置提供服務之電訊公司及/或互聯網服務提供者所徵收之任何費用、收費及支出,包括但不限於附加費、國際長途電話服務及漫遊服務費用(如有者)。
8.2 The Customer shall be responsible for any fees, charges and expenses including but not limited to surcharges, IDD service and roaming service charges (if applicable) imposed by telecommunications companies and/or internet service providers for the provision of telecommunications equipment and internet access equipment/devices or the provision of services to such equipment/devices in connection with the e-Banking Services to the Customer.
8.3 「客戶」同意繳付「銀行」所不時通知而與提供及使用「電子銀行服務」有關之一切費用;「客戶」現授權「銀行」將此等費用在「客戶」之「基本帳戶」內扣除,有關費用須預先繳付及不會退還。
8.3 The Customer agrees to pay all charges related to the provision and use of the e-Banking Services as notified by the Bank from time to time. The Customer hereby authorises the Bank to debit such charges from the Basic Account of the Customer, and such charges shall be payable in advance and are non-refundable.
9. 暫時中止及終止服務
9. Suspension and Termination of Service
9.1 「銀行」可自行決定是否批准「客戶」使用「電子銀行服務」;「銀行」可因正當理由(包括但不限於有關電訊公司及互聯網服務提供者所引致與其網路有關之故障、維修、修改、擴大及/或改善工程)完全或局部暫停或終止「電子銀行服務」, 而無須事先通知「客戶」。「銀行」無須為暫停或終止「電子銀行服務」承擔任何法律責任或其他責任。
9.1 The Bank may, at its sole discretion, approve the use of the e-Banking Services by the Customer. The Bank may suspend or terminate the e-Banking Services in whole or in part without prior notice to the Customer for justifiable reasons, including but not limited to malfunctions, repairs, modifications, extensions and/or improvements to its network caused by the relevant telecommunications companies and internet service providers. The Bank shall not be liable or responsible for any suspension or termination of the e-Banking Services.
9.2 「客戶」一旦結束相關戶口,即無法透過「電子銀行服務」處理相關交易。
9.2 Once the relevant Account is closed, the Customer will not be able to process the relevant Transactions through the e-Banking Services.
9.3 除上述條款外,「客戶」可書面通知「銀行」停止使用「電子銀行服務」。而暫時中止使用「電子銀行服務」並不會影響「客戶」行使已開立帳戶之權利及責任。
9.3 In addition to the above, the Customer may cease to use the e-Banking Services by giving written notice to the Bank. Such suspension shall not affect the exercise of the Customer's rights and obligations in respect of the Account(s) already opened.
10. 服務條件
10. Conditions of Service
10.1 「銀行」將保留權利並自行決定不時修改、擴大、縮減、暫時中止或更改「電子銀行服務」之範圍,而無須作出事前通知。「銀行」無須對任何此等更改所產生的任何損失負責。
10.1 The Bank reserves the right to modify, expand, reduce, suspend or change the scope of the e-Banking Services, from time to time, at its sole discretion without prior notice. The Bank shall not be liable for any loss arising from any such changes.
10.2 為使「電子銀行服務」有效運作,「銀行」有權訂下其認為適當之限制。在不影響此等條款之原則下,「銀行」可通知「客戶」各項理財指示及委託涉及之最低或最高金額。
10.2 For the effective operation of the e-Banking Services, the Bank shall have the right to impose such restrictions as it considers appropriate. Without prejudice to these terms, the Bank may notify the Customer of the minimum or maximum amount involved in each financial instruction and mandate .
10.3 「客戶」可在「銀行」指定之服務時間內使用「電子銀行服務」。「客戶」亦可透過「電子銀行服務」開立定期存款,其通訊地址將與「電子銀行服務」之「基本帳戶」之通訊地址相同。適用於此帳戶的條款和適用於「客戶」指定之「基本帳戶」的條款相同, 並以「本協議」為准。「銀行」可對透過「電子銀行服務」開立的帳戶制定其認為適當的特別規則或限制。此帳戶的受權人和使用者和「基本帳戶」之「客戶」為一致的。
10.3 The e-Banking Services may be used by the Customer during the service hours specified by the Bank. The Customer may also open a time deposit through the e-Banking Services with the same correspondence address as that of the Basic Account under the e-Banking Services. The terms and conditions applicable to the said account shall be the same as those applicable to the Basic Account designated by the Customer and shall be governed by this Agreement. The Bank may impose such special rules or restrictions on accounts opened through the e-Banking Services as it deems appropriate. The authorised person and user of the said account shall be the same as the Customer of the Basic Account.
10.4 在任何「營業日」執行之「交易」,「銀行」有絕對決定權將該「交易」視為下一個「營業日」生效;並同時保留更改截止時間之權利,而無須事先通知「客戶」。
10.4 The Transaction executed on any Business Day shall, at the Bank's absolute discretion, be deemed to be effective on the next Business Day, and the Bank reserves the right to alter the cut-off time without prior notice to the Customer.
11. 預設指示
11. Forward-dated Instruction
「預設指示」是「電子銀行服務」提供的一種服務。該項服務使「客戶」能預先給予「銀行」「指示」以執行特定交易。該等交易包括但不限於金額轉賬及繳付帳單。
Forward-dated Instruction is a kind of service provided by e-Banking Service. This service enables the Customer to give Instructions to the Bank in advance in order to carry out specific Transactions. These Transactions include, but are not limited to, money transfers and bill payments.
11.1 「客戶」知悉及同意「銀行」將於指定之執行日期執行「預設指示」,惟「銀行」不會對任何延誤執行「指示」、或銀行認為因輸入「預設指示」不清楚或不完整而未能執行、或「客戶」未能於「銀行」指定之截數時間前遞交「預設指示」之情況,而引致「客戶」之直接或間接蒙受之任何損失、損害或費用,「銀行」不負上任何責任。
11.1 The Customer acknowledges and agrees that the Bank will execute the forward-dated instruction on the specified date for execution. However, the Bank shall not be liable for any directly or consequential loss, damage or expense suffered by the Customer due to any delay in executing the forward-dated instruction, or any failure to execute the forward-dated instruction which, in the opinion of the Bank, is due to unclear or incomplete input of the forward-dated instruction, or any failure to submit the forward-dated instruction by the Customer by the cut-off time specified by the Bank.
11.2 倘執行「預設指示」之日期為「銀行」假期,則「銀行」假期後之下一個工作日將為執行日期。
11.2 If the date of execution of a forward-dated instruction falls on a bank holiday, execution date shall be the next Business Day after the bank holiday.
11.3 「客戶」知悉須於執行日當天營業時間結束前在指定戶口內備有足夠款項以便支付「預設指示」。倘存款不足,「銀行」將毋須執行「預設指示」,而「銀行」亦有絕對決定權終止執行「預設指示」,並就每項未能執行之「預設指示」收取有關費用。
11.3 The Customer is aware that sufficient funds must be available in the designated account for payment of the forward-dated instruction by the end of business hours on the day of execution. In the event of insufficient funds in the designated account, the Bank shall not be required to execute the forward-dated instruction, and shall have the absolute discretion to terminate the forward-dated instruction and charge a fee for each forward-dated instruction that is not executed.
11.4 「銀行」在接收「預設指示」的執行日期之後,「銀行」有絕對決定權認為未有足夠時間或在不能控制情況下不能執行。在該等情況下,「銀行」可無須接受「預設指示」之更改或取消。
11.4 After the Bank receives the execution date of the forward-dated instruction, the Bank shall have the absolute discretion to determine that there is insufficient time or circumstances beyond its control to execute it. In such circumstances, the Bank may not be obliged to accept the amendment or cancellation of the forward-dated instruction.
12. 法律
12. Law
12.1 「本協議」受澳門法律管轄,並按照其解釋。澳門法院對任何因「本協議」和使用「電子銀行服務」而引起或與其相關的衝突有非專屬管轄權。
12.1 This Agreement shall be governed by and construed in accordance with the laws of Macau. The courts of Macau shall have non-exclusive jurisdiction over any conflict arising from or in connection with this Agreement and the use of the e-Banking Services.
12.2 「客戶」授權「本行」可根據任何司法管轄區之任何法律、規則或規例,將有關客戶之帳戶及/或交易之一切資料,披露及轉移予相關人士或機構。
12.2 The Customer authorises the Bank to disclose and transfer all information relating to the Customer's Account and/or Transactions to relevant persons or organisations in accordance with any law, rule or regulation of any jurisdiction.
12.3 在「本協議」中每一條款及規定與其他條款是可分割開的並獨立於其他條款。倘若根據適用法律,「本協議」中任何條款或規定被認為不合法、無效或不能執行,則須盡可能在法律許可程度下予以施行,而「本協議」之其餘部分仍具完全效力及作用。
12.3 Each of the terms and provisions of this Agreement is severable from and independent of the other terms. If any term or provision of this Agreement is considered illegal, invalid or unenforceable under the applicable law, it shall be enforced to the fullest extent permitted by law and the remainder of this Agreement shall remain in full force and effect.
12.4 「銀行」於行使「本協議」賦予之權利、權力及補償權時之任何作為,延遲或不作為,均不得影響其後或進一步行使該項權利、權力及補償權。「本協議」賦予之權利及補救措施可予累積行使,及不會與法律規定之任何權利及補救措施排斥。
12.4 No act, delay or omission on the part of the Bank in exercising the rights, powers and remedies conferred by this Agreement shall affect any subsequent or further exercise of such rights, powers and remedies. The rights and remedies conferred by this Agreement shall be cumulative and not exclusive of any rights and remedies provided by law.
